6.1 SCG proprietary materials
All methodologies, frameworks, templates, training materials, and proprietary processes developed by SCG remain the exclusive intellectual property of Scheetz Consulting Group, LLC. Clients are granted a limited, non-exclusive, non-transferable license to use deliverables produced for their specific engagement.
6.2 Client materials
All data, content, and materials provided by the client remain the exclusive property of the client. SCG will not use, sell, or disclose client materials for any purpose other than performing contracted services without prior written consent.
6.3 Work product
Custom work product developed exclusively for a client engagement and paid for in full by the client shall be owned by the client upon receipt of final payment, unless otherwise specified in the applicable agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Clients agree not to disclose SCG's proprietary frameworks, pricing structures, or internal methodologies to competitors or third parties.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF OR INABILITY TO USE OUR SERVICES OR THE SCHEETZAI APP, EVEN IF SCG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SCG's total cumulative liability to any client for any claims arising out of or related to a specific engagement or subscription shall not exceed the total fees paid by that client to SCG for that engagement or subscription in the three (3) months preceding the claim.
9. Disclaimer of warranties
SCG provides its services, deliverables and the Chief of Staff app on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any services, recommendations, deliverables, Assistant Actions, or AI output. SCG does not guarantee specific business outcomes, revenue increases, or performance results from AI implementations, and does not guarantee that an assistant’s output will be accurate, complete or suitable for a given purpose. Results will vary based on individual business conditions.
10. Indemnification
Client agrees to indemnify, defend, and hold harmless SCG and its members, managers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) client's use or misuse of SCG services, deliverables, or the Chief of Staff app, including Assistant Actions the client authorized or approved; (b) client's violation of these Terms; (c) client's violation of any applicable law or third-party rights; or (d) any inaccurate information provided by the client to SCG.
11. Termination
Either party may terminate a consulting engagement by providing written notice as specified in the applicable SOW or agreement. Upon termination:
- Client is responsible for payment of all fees for services rendered through the termination date
- SCG will deliver all completed work product to the client within 14 business days
- Each party will promptly return or destroy the other party's confidential information upon request
- Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination
12. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law principles. Any dispute arising from these Terms, SCG's services, or a Chief of Staff subscription shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Sarpy County, Nebraska in accordance with the rules of the American Arbitration Association.
13. Modifications to terms
SCG reserves the right to update or modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services following any modification constitutes acceptance of the revised Terms. We encourage clients to review these Terms periodically.
14. Chief of Staff Service Terms (formerly ScheetzAI)
14.1 Accounts
A business can sign up for Chief of Staff on its own; its owner or admins then invite their team. The customer is responsible for who they invite, and for all activity under their organization’s account. Because signing in uses a one-time code sent by email, the customer must keep the email accounts used for sign-in secure — anyone with access to that inbox can sign in.
14.2 Plans, credits and billing
- Chief of Staff is a monthly subscription, billed in advance through Stripe, that includes a monthly credit allowance.
- Monthly credits reset each billing period and do not roll over.
- Purchased top-up credits roll over while the subscription is active, and are forfeited when the account closes.
- Prices may change with at least 30 days’ notice by email.
14.3 Refunds
Subscription fees and top-up purchases are non-refundable, except where the law requires otherwise. Cancelling stops future charges.
14.4 Cancellation
The customer can cancel at any time. Cancellation takes effect at the end of the current billing period: they keep access until then and are not charged again. Their data is then deleted within 30 days (sooner on request), as described in the Privacy Policy, and they can request an export before deletion.
14.5 Connected accounts
The customer confirms they have the right to connect any email, CRM, calendar or portal they sign in to or connect. They are responsible for following those services’ own terms and for any charges those services impose. Third-party services are used at the customer’s own risk; SCG is not responsible for their availability, security or operation.
14.6 Assistant Actions
“Assistant Actions” means anything a Chief of Staff assistant does for the customer, including:
- Reading websites and accounts it is signed in to.
- Reading and writing work files.
- Running routines on a schedule.
- Messaging other assistants.
- Preparing drafts.
- Future actions such as sending messages or creating calendar events.
The customer authorizes Assistant Actions within the access, settings, rules and approvals they configure. That includes actions an assistant starts on its own inside that scope — routines, check-ins, daily briefs and inbox watching. The customer is responsible for what they give assistants access to, for their approval settings, and for monitoring recurring or unattended routines.
14.7 Approvals and human review
Approval steps, rules and safety checks are aids that reduce risk. They may not catch every mistaken or unintended action, and they cannot undo an action once it is completed. The customer must review before approving anything that affects other people or carries consequences, including:
- Messages to candidates, clients or facilities.
- Rates, pay or financial terms.
- Commitments or agreements.
- Deleting data.
- Hiring and staffing decisions.
14.8 AI output provided as is
Assistant Actions and AI output can be wrong, incomplete, late or unsuitable, and are provided "as is" and "as available". The customer is responsible for the results of actions they approve or allow, and for complying with the laws that apply to their business, including employment, privacy and anti-spam laws. SCG is not liable for losses arising from Assistant Actions, except to the extent caused by SCG’s gross negligence or willful misconduct. Nothing in this subsection limits SCG’s privacy and data-protection obligations under the Privacy Policy.
14.9 A persistent, shared workspace
Chief of Staff keeps customer data in a persistent cloud workspace: chats, work files, the assistant computer’s browser sessions and sign-ins, rules and learned preferences, and routines. Two consequences are worth stating plainly:
- Assistants on the same account — the Chief of Staff and its roles — share one computer and the sign-ins on it. They should not be treated as separate security boundaries.
- Deleting one assistant may not delete shared files, sessions or routines.
It is the customer’s responsibility to sign out of accounts, turn off routines, disconnect apps and delete data they no longer want the assistants to have. A customer can ask SCG to delete everything by emailing ryan@scheetzcg.com.
14.10 Acceptable use
The customer may not use Chief of Staff:
- For anything unlawful.
- To harass anyone or send spam.
- To get around the app’s safeguards or approval steps.
- To access accounts they are not authorized to use.
- To reverse engineer, copy or resell the service without permission.
14.11 Customer data
The customer owns their data and grants SCG a limited licence to process it only to provide and support the service, as described in the Privacy Policy. A Data Processing Addendum (DPA) is available on request for business customers.
14.12 Disabling content or actions
SCG may remove content, pause routines or disable Assistant Actions that it reasonably believes break these Terms or the law, or put safety, security or other people at risk. It may do so without notice when waiting would be harmful. SCG may suspend accounts for non-payment or misuse.
14.13 Availability
SCG does not guarantee uptime and may change, add or remove features. The service depends on third-party providers, including Google, OpenAI, Fly.io and Stripe.
14.14 Changes to these terms
Updates take effect when posted. If an update is materially worse for customers, SCG will email the account owner reasonable advance notice — at least 30 days — before it takes effect. Continuing to use Chief of Staff after that notice means accepting the update. Updates never reduce a customer’s rights over data they provided before the change.
